Assistant General Counsel II (Health Care & Vendor Contracting)

PURPOSE:  CareFirst is seeking one or more experienced and motivated Assistant General Counsels to join its team.  This position will provide a complete range of highly specialized legal services as the primary legal support for one or more divisions within CareFirst.   Based on the range of experience, this position may be considered as Associate General Counsel, Assistant General Counsel I or Assistant General Counsel II.   The level of the position and salary may be adjusted, commensurate with relevant experience and the position may be based in either CareFirst's Baltimore or District of Columbia Offices, with travel to CareFirst's Columbia, Maryland and other offices required as necessary.

 

In addition to the general job duties listed below, CareFirst is seeking particular experience in the following areas:

 

  1. Provider and Medical Management Contracting, including (1) contracting with institutional and individual providers, especially in a provider network setting, and including experience with issues such as value-based billing, provider incentives, and other novel payment approaches; (2) contracting with companies that support the management of health care utilization and networks, health care data and informatics, or provider services; and (3) experience with Medicare Advantage.   
  2. Healthcare and Government Vendor Contracting, including experience with procurement and vendor management involving healthcare, health insurance, information technology, and government subcontractors.
  3.  Healthcare and Health Insurance Regulation, including general experience with the laws and regulations governing the provision of health insurance and health care, and interaction with regulatory agencies at the state and federal level.

 

PRINCIPAL ACCOUNTABILITIES:

The essential duties and responsibilities include, but are not limited to, the following:  

Strategic Legal Counseling.  Provides advice and counsel directly to executive management and/or their designees on all legal issues affecting the Division(s) to which assigned and assists in development of business strategies within legal constraints.  Provides strategic direction and guidance to Associate General Counsel and legal support staff based on corporate initiatives and allocates resources based on established priorities.  Evaluates divisional initiatives and represents the Corporation’s legal interests on intercompany management/executive committees.

Legal Advice.  Provides written and oral advice directly to executive management and/or their designees in complex and rapidly evolving areas of the law.  Analyzes and provides legal guidance on a wide range of regulatory, contractual and operational matters, including the interpretation and implementation of legislation.  Provides clear, succinct, and “actionable” written advice to key executive stakeholders that reflects full understanding of the pertinent operations of the Division(s) to which assigned. Renders legal guidance to counsel supporting other Divisions in specialized areas of expertise.

Contract Drafting and Negotiation.  Provides advice and counsel to executive management and/or their designees on contractual matters, including issues arising from alliances and partnerships with, and investments in, start-up and established companies.  Provides strategic analysis of available alternatives and associated legal risks.  Drafts, analyzes, and negotiates contracts and complex agreements involving multiple companies and significant financial resources with outside vendors.   Represents the Company in disputes and/or negotiations arising from contractual relationships and/or performance.

External Representation.  Represents the Corporation’s legal interests by interfacing with opposing counsel and regulatory agencies on issues having significant impact on company operations and/or finances.  Supports clients in managing communications with external parties in areas of conflict.  Builds and maintains key regulatory relationships related to matters that primarily affect the Division assigned.  Represents the company on legal issues arising from regulatory investigations, subpoenas, or external audits. 

Corporate Governance.  Provides legal guidance to executive management regarding corporate governance issues and corporate transactional matters, including mergers, acquisitions and/or investments.  May perform corporate secretarial duties for subsidiary board(s), as appropriate.

 

SUPERVISORY RESPONSIBILITY:  This individual may supervise ;legal support staff and/or provide guidance to less experienced attorneys.,  This individual in addition will have matrix management responsibilities with respect to cross-functional projects and work performed by individuals employed in other areas.

 

QUALIFICATION REQUIREMENTS:   

 

Required Admission to the MD or DC Bar within one year of hire date.  Juris Doctor Degree (J.D.) is required, with at least 3 years’ experience as an attorney required for Associate General Counsel and additional experience required for Assistant General Counsel I and/or Assistant General Counsel II. 

 

Abilities/Skills This position demands strong analytical, interpersonal, and written and verbal communication skills.  This individual must have the ability to follow instructions, to be flexible/versatile, and to work independently.  Must be able to effectively work in a fast-paced environment with frequently changing priorities, deadlines, and workloads that can be variable for long periods of time.  Must be able to meet established deadlines and handle multiple customer service demands from internal and external customers, within set expectations for service excellence.  Must be able to effectively communicate and provide positive customer service to every internal and external customer, including customers who may be demanding or otherwise challenging.  Experience and knowledge in the areas to be supported is essential.

 

Preferred Demonstrated expertise in advising clients in a complex regulatory environment.  Demonstrated leadership within a legal department or organization
